We do not warrant that:

  • Our services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using our services will be accurate or reliable
  • Any errors in our services will be corrected

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOYLA LABS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Any other intangible losses

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us, if any, for the services giving rise to the claim during the twelve (12) months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Noyla Labs, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Any content you submit or transmit through our services

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

8. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

9. Entire Agreement

These Terms constitute the entire agreement between you and Noyla Labs regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.
